Job summary

Baker Tilly is seeking a Manager to join our Transaction Services Tax team as we grow our practice. You will develop and implement transaction advisory services for clients including private equity funds, banks, and public companies. Open to location.

You will interact with Partners, model financial transactions, prepare detailed memoranda, and advise on the tax implications of acquisitions and restructurings. A CPA or JD/LLM and 2+ years in a professional services firm are required.

Qualifications

• Bachelor's degree in finance, accounting or related field is required or a graduate degree with 2 years of related work experience
• CPA or JD/LLM is required
• 2+ years of work-related experience in a mid to large-size professional services firm
• Tax due diligence, deal structuring and post-acquisition planning experience or inbound/outbound transaction consulting with intl tax research is expected
• Strong written communication and client service skills are essential

Responsibilities

• Interact directly with Partners on client and engagement management
• Model financial transactions for valuation, structuring, and negotiation
• Prepare memoranda and presentations describing client company attributes
• Review tax aspects of acquisition/merger agreements and draft tax opinions
• Identify tax risks and opportunities and advise on strategic options
• Review tax computations in financial models and analyze tax data in projections
• Data gathering, document review and report preparation
• Research & financial analysis of target companies
• Due diligence for buy and sell side transactions
• Transaction structuring for tax and accounting issues
• Negotiation support
• Communicate with business owners to ensure client service
• Participate in marketing and recruiting activities of the firm
