Job summary

Baker Tilly Advisory Group, LP is seeking a Manager to join the Transaction Services Tax team. You will develop and implement advisory services for privately held and publicly traded clients, including private equity and banks, across multiple offices.

Open to location. You will interact with Partners, model transactions for valuation and negotiation, and review tax aspects of acquisitions and restructurings while guiding analytics and client service.

Qualifications

• Bachelor's degree in finance, accounting or related field required; or a graduate degree and 2 years of related work experience.
• 2+ years of work-related experience in a mid to large-size professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting with international tax research, planning and compliance experience.
• Strong written communication and Microsoft Suite skills.

Responsibilities

• Interact directly with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client companies and industries.
• Assist in review and analysis of tax aspects of acquisition and merger agreements; draft tax opinions.
• Identify tax risks and opportunities; advise on alternative tax strategies for transactions.
• Review tax computations in financial models and assist analysis of tax data in projections.
• Data gathering, document review and report preparation.
• Conduct research and financial analysis of target companies.
• Perform due diligence for buy-side and sell-side transactions.
• Assist in transaction structuring for tax and accounting issues.
• Provide negotiation support and client service; participate in marketing and recruiting.
