Qualifications

JD required.
Active U.S. law license in good standing.
Deep commercial contracting and negotiation expertise.
Strong independent risk assessment and practical legal judgment.
In-house or regulated-industry experience preferred.

Responsibilities

Review, draft, and redline commercial agreements.
Assess contractual language, legal exposure, and business risk.
Develop practical alternative language for problematic provisions.
Advise on indemnification, liability, IP, confidentiality, privacy, warranties, termination, and related terms.
Provide legal approval and contract interpretation.
