Job summary

Innovative Driven, a boutique firm client based in Summit, New Jersey, is seeking a Senior Corporate Attorney to handle sophisticated commercial matters in a supportive, high-caliber environment.

The role is hybrid: three days onsite in Summit and two remote each week. Requires admission in NY and/or NJ (willing to waive to the other within one year) and 7+ years of commercial contracts and corporate law experience.

Qualifications

• Admitted to practice in NY and/or NJ with ability to waive to the other within 1 year.
• 7+ years of commercial contracts and corporate law experience.
• Hybrid role: three days onsite in Summit, two days remote each week.

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements including MSA, SOW, vendor/supplier contracts, NDAs, licensing.
• Counsel clients on contract interpretation, risk assessment, and allocation of legal and business risks.
• Oversee full contract lifecycle from drafting through renewal and termination, ensuring alignment with business objectives and legal requirements.

Innovative Driven is currently seeking a Senior Corporate Attorney to join the dynamic team at one of our most well-regarded boutique law firm clients!

This is an incredible opportunity to join a firm where you have the opportunity to handle complex substantive matters in a supportive and sophisticated environment. The firm is based in Summit, New Jersey and it serves sophisticated corporate and clients, nationwide.

The firm has a highly reasonable billable hour expectation, with associates typically billing 1500-1700 hours. It is a hybrid position, with three days onsite in Summit, and two days remote, each week.

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements, including master services agreements, statements of work, vendor and supplier contracts, consulting agreements, non-disclosure agreements, licensing agreements, and other complex business transactions.
• Counsel clients on contract interpretation, risk assessment, and strategic allocation of legal and business risks, including indemnification, limitation of liability, warranties, termination provisions, data privacy and security obligations, intellectual property rights, and other critical commercial terms.
• Oversee the full contract lifecycle, from initial drafting and review through negotiation, execution, amendment, renewal, and termination, ensuring alignment with business objectives and legal requirements.

Qualifications

• Admitted to practice in New York and/or New Jersey, with willingness and ability to waive into the other jurisdiction within one year.

7+ years of commercial contracts and corporate law experience
