Genuine Search Group is seeking a senior attorney to review and negotiate high-volume AI and technology agreements for clients across hyperscalers, platforms, and integrators. You will structure licensing, data ownership, and compliance provisions, including training data, IP rights, and vendor risk allocation, while coordinating with in-house counsel and business teams.

JD from an accredited law school and 10+ years of AI transaction experience are required; excellent communication and project

Job description

  • Review and negotiate a high volume of complex agreements with major AI platform providers, hyperscalers, and integrators.
  • Negotiate model licensing, API access, compute provisioning, and professional services agreements with AI vendors, including structuring IP ownership rights, indemnities, limit of liability frameworks, and allocation of risks for training data and generated content.
  • Structure, draft, and negotiate AI terms in client buy-side data license agreements; Negotiate data use, retention, opt-outs from vendor models, training, zero-retention/no-log commitments, and derivative-data ownership provisions.
  • Review and negotiate a wide range of vendor commercial agreements including technology license agreements, SaaS agreements, professional services agreements, as well as outsourcing and consulting agreements, particularly focusing on AI issues.
  • Evaluate vendor and client technical documentation and data governance practices, to assess legal exposure.
  • Maintain up to date familiarity with regulatory and legislative requirements, emerging technology, new AI providers, and AI-related news.
  • Advise client business and IT teams on liabilities, legal rights, commercial levers and remedies under AI and technology agreements, including understanding compute and pricing models (token-based, committed-use, reserved capacity) to be able to negotiate commercial terms aligned with business objectives.
  • Work closely with clients’ in-house counsel and client business teams.
Qualifications
  • Deep technical AI commercial contracting knowledge and practical experience.
  • Strong knowledge of AI/machine learning concepts, including fine-tuning vs. RAG, data scraping, model hallucinations, open-source vs. proprietary licensing, and the mechanics of user inputs vs. model outputs.
  • Ability to read and interpret technical architecture diagrams and data flow charts.
  • Strong understanding of data privacy regimes (GDPR, CCPA) as they intersect with data lineage, AI training, and commercial data sharing.
  • Advanced knowledge cloud services, cybersecurity, information security, and data management agreements.
  • Experience negotiating against major platform providers' standard/click-through paper and knowing where those forms are negotiable
  • Strong understanding of how to make AI model performance contractually measurable and enforceable through benchmarking, SLA credits, and performance/accuracy metrics
  • Law firm experience preferred.
  • Experience working in a regulated financial services company is preferred, but not required.
  • Exceptional communication skills, including the ability to communicate complex concepts clearly and simply, both orally and in writing, and present pragmatic and strategic advice and choices.
  • Strong ability to understand and speak with technical and security teams to explain legal implications of technical and commercial terms.
  • Excellent project management and time management skills, ability to handle multiple clients and projects. Highly motivated and independent self-starter.
  • Ideal candidates will have multiple years of AI transaction experience and at least 10 years of overall experience, but the firm is open to considering more senior or junior candidates depending on prior work experience and skill set.
  • Candidates must have a JD from an accredited law school and be active in good standing in their jurisdiction.
