Job summary

The AmLaw 50 firm seeks a mid-level Technology Transactions Associate Attorney to join its premier Technology Transactions Practice Group. You will handle high-impact IP and commercial transactions for cutting-edge technology clients worldwide, including licensing, development, services, distribution, and collaborations.

Candidates should have a JD from a top-tier law school, California bar admission, 3–6 years’ experience in IP and commercial transactions, and a strong technical background.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating complex IP and technology-related agreements.
• IP aspects of M&A and equity financing transactions.
• Interest in or experience with AI is advantageous.
• Technical background preferred (science degree or tech experience).

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, distribution, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
