Job summary

An Am Law top 10 firm in Austin seeks a highly qualified associate to join its Technology & IP Transactions group. The ideal candidate will have 3-7 years of experience in technology- and IP-intensive transactions or related practices.

The role covers M&A, restructurings, financings, joint ventures, licenses, outsourcing and other commercial agreements. Technical degrees are not required, but outstanding credentials are essential.

Qualifications

• 3–7 years of experience in technology- and IP-intensive transactions or related practice.
• Outstanding credentials and qualifications.
• Open to associates with other transactional/IP-focused experience.

Responsibilities

• Work on technology and IP transactions, including software/systems agreements, outsourcing, R&D, licenses and data/databases.
• Handle mergers and acquisitions, restructurings, financings, joint ventures, strategic alliances and other commercial agreements.
• Draft, negotiate and review technology transfer, collaboration and licensing agreements (patent, trademark, copyright).

Matters include mergers and acquisitions, restructurings, financings, joint ventures, strategic alliances, software and systems agreements, outsourcing, R&D agreements, technology transfer agreements, collaboration agreements, licenses (patent, trademark, copyright, and data/databases), and other commercial agreements.
