Ideal candidates hold a JD from a top-tier law school with excellent academics, active California bar, 3–6 years IP and transactional experience, and a technical background. The role offers a path to leadership in a prestigious AmLaw 50 firm.

Qualifications

• JD from top-tier law school with excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements (licensing, development, services, distribution, partnerships).
• Experience handling IP aspects of M&A and equity financing Transactions.
• AI experience is advantageous.
• Technical background preferred (science degree or experience with technology).
• Ability to manage multiple deal streams in a fast-paced environment.
• Strong research, writing, analysis, and communication skills plus business acumen and attention to detail.

Responsabilités

• Draft, review, and negotiate a wide range of technology and IP agreements including licensing, development, services, distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models and technology trends.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
