KingRecruitingServices is assisting a leading AmLaw 50 firm seeking an Technology Transactions Associate Attorney in San Francisco, CA. The role focuses on high-impact IP and commercial tech transactions for global clients, with strong emphasis on licensing, development, services, and partnerships.

Ideal candidates have 3–6 years of IP and commercial transaction experience, CA bar, and a notable academic record from a top-tier law school. A technical background is highly valued.

Qualifications

• JD from a top-tier law school with excellent academic record.
• California bar admission in good standing.
• 3–6 years of IP and commercial transactions experience.
• Experience structuring, drafting, negotiating IP/technology agreements (licensing, development, services, distribution, partnerships).
• Experience with IP aspects of M&A and equity financing.
• Interest in AI advantageous.
• Technical background preferred (CS/engineering).

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing and development.
• Provide IP diligence and strategic counseling in M&A and financing transactions.
• Collaborate with internal teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with business models.
• Directly work with clients to understand objectives and craft solutions.
• Contribute to team development and client growth initiatives.
