Job summary

Anthropic is seeking an experienced Corporate Counsel, M&A to drive strategic transactions from diligence through execution and post-closing integration. You will collaborate with Legal, Corporate Development, Finance, Accounting, and executives to support growth objectives.

Role requires a JD from an accredited law school, active U.S. state bar, and experience with stock purchases, asset purchases, mergers, acquihires, and joint ventures. Hybrid work model across the SF/NY/Seattle offices.

Qualifications

• JD from an accredited law school
• Active membership in at least one U.S. state bar
• Experience drafting and negotiating M&A documents (LOI, purchase agreements)
• Experience with stock purchases, asset purchases, mergers, acquihires and ventures

Responsibilities

• Lead legal workstreams on M&A transactions from due diligence through closing and post-closing integration
• Draft, review, and negotiate transaction documents including LOIs and purchase agreements
• Manage due diligence and coordinate cross-functional workstreams
• Provide practical counsel on deal structuring, risk allocation, and purchase price mechanics
• Prepare materials for executives and the Board on transaction matters
• Manage outside counsel relationships and ensure quality and budgets
• Support post-closing integration and standardized playbooks/documents
