Job summary

BCLP seeks a sharp, mid-level associate (3–5 years) to join its Technology & Data practice in San Francisco or other offices. You will draft and negotiate tech agreements, privacy provisions, and data protection terms across complex transactions, advise on compliance with GDPR/US privacy laws, support cross-border data transfers, and collaborate with legal teams on M&A and corporate matters.

Qualifications

• 3–5 years of relevant experience in technology transactions, privacy, cybersecurity, data protection, AI or a combination thereof.
• Healthy curiosity for technology and strong understanding of the legal issues affecting technology transactions.
• Experience advising clients on privacy and data protection laws, including U.S. state privacy laws, GDPR, and other global privacy frameworks.
• Ability to identify and assess privacy, cybersecurity, and regulatory risks in complex technology and corporate transactions and in a practical risk-based manner.
• Experience supporting M&A, financing, outsourcing, or other strategic transactions involving significant technology or data assets is preferred.
• Exceptional drafting and negotiation skills.
• Superior work ethic and the desire to help clients succeed.
• Demonstrated ability to independently manage complex matters and multiple client relationships.
• Excellent communication, analytical, and organizational skills.
• Familiarity and openness to the use of AI-assisted contract analysis and drafting tools.
• Admission to the bar in the relevant jurisdiction.

Responsibilities

• Drafting, reviewing, and negotiating a wide range of technology agreements, including licensing, SaaS and cloud services, development, reseller, and strategic alliance agreements.
• Drafting, reviewing, and negotiating privacy, data protection, cybersecurity, and information governance provisions in technology transactions, sourcing arrangements, strategic partnerships and other complex transactions.
• Drafting, reviewing and negotiating stand‑alone privacy agreements, including data processing agreements and data sharing agreements.
• Advising clients on compliance with U.S. and international privacy and data protection laws, including state consumer privacy laws, HIPAA, GDPR, UK GDPR, and emerging global privacy frameworks.
• Counseling clients on privacy compliance programs, data governance initiatives, data mapping, retention strategies, vendor management, and cross-border data transfers.
• Supporting clients in responding to cybersecurity incidents, data breaches, regulatory inquiries, and privacy‑related investigations.
• Serving as the technology and privacy specialist to support M&A and other corporate transactions.
• Collaborating with multidisciplinary teams across the firm to provide integrated advice on privacy and technology matters.
