Job Title: Tax Equity Associate Attorney
Job Overview: A prestigious law firm located in Los Angeles, CA, is seeking an experienced Tax Equity Associate Attorney with 3-6 years of significant transactional experience. Duties:
- Provide legal counsel on tax equity financing, including tax credit purchase agreements and related transactions.
- Draft, review, and negotiate various agreements such as equity capital contribution agreements, membership interest purchase agreements, LLC agreements, and tax credit purchase agreements.
- Lead due diligence efforts and review project agreements, including off-take agreements, EPC contracts, supply contracts, O&M services, and other relevant project agreements.
- Collaborate with clients and other professionals to structure and execute complex financial transactions.
- Ensure compliance with applicable tax laws, regulations, and guidelines.
- Support senior attorneys in providing strategic legal advice on tax equity matters and transaction management.
Requirements:
- 3-6 years of experience in tax equity financing and related transactions.
- Extensive experience in negotiating and preparing equity capital contribution agreements, LLC agreements, tax credit purchase agreements, and membership interest purchase agreements.
- Proficient in reviewing and conducting due diligence on key project agreements (off-take, EPC, supply, O&M services, etc.).
- Strong ability to work in a fast-paced, high-volume environment and manage multiple projects simultaneously.
- Detail-oriented with excellent analytical and problem-solving skills.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Admission to the Bar in California.
