Job summary

Ensono is seeking a Corporate Counsel to lead complex commercial transactions, provide strategic contract review and negotiation, and act as a trusted advisor to Sales and internal stakeholders.

The role focuses on balancing risk management with commercial objectives, supporting enterprise sales and outsourcing deals, and driving transactions to successful closure in a fast-paced environment.

Qualifications

• J.D. from an accredited law school.
• Active bar admission in at least one US jurisdiction.
• 3–5 years of relevant complex commercial transactions experience in an IT managed services environment.

Responsibilities

• Lead commercial transactions to closure with prudent, expeditious and solutions-oriented approach.
• Draft, review and negotiate complex transaction agreements.
• Identify and mitigate issues and risks, explaining contract language implications to the business.
• Provide risk assessment and commercial legal advice regarding laws and regulations.
• Coordinate across internal teams to ensure compliance with laws and company policies.
• Vet contract issues with internal organizations and draft feedback.
• Prepare and administer escalations as necessary.
• Advise on existing contracts to achieve commercially reasonable outcomes.
• Develop and implement solutions to deal roadblocks through negotiation.
• Project manage multiple deals to closure concurrently.
• Present training on transaction legal issues and strategies.
• Seek continuous improvements to the transaction support process.
