Job summary

N-able seeks a highly experienced Director of Securities and Corporate Counsel to lead global securities matters and corporate governance from its Burlington, MA location. You will advise the board and executive team on securities law, governance, and M&A while coordinating with Finance, Investor Relations, and Corporate Development.

Based in Burlington, MA, you will partner with the General Counsel to shape strategy, manage outside counsel, and develop company-wide policies.

We're seeking an energetic, business-minded Director of Securities and Corporate Counsel to join our Legal Department. This unique opportunity will serve as the lead corporate and securities attorney for a high-profile, global software company, partnering closely with the General Counsel and teams across Financial Reporting, Investor Relations, Executive Compensation, Accounting, Tax and Treasury, and Corporate Development.

This role will regularly advise the board of directors, CEO, CFO and executive leadership team on corporate, securities law, governance, commercial, transactional and M&A matters, while supporting day-to-day operational needs and strategic priorities.

This role is based in Burlington, MA. Candidates must live within commutable distance to be considered.

What You’ll Do

Based in the Burlington, Massachusetts area and reporting to the General Counsel, this role will lead global securities law matters and related compliance, including Securities Act and Exchange Act matters. Responsibilities include:

  • Prepare and review SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements, shareholder proposals, proxy solicitation materials and Section 16 reports.
  • Develop, refine and maintain policies and procedures to support compliance with SEC and securities-related requirements applicable to publicly traded companies, including Sarbanes-Oxley, Dodd-Frank, NYSE listing standards, Regulation FD and insider trading rules.
  • Advise on corporate governance, CSR/ESG initiatives, executive compensation, transfer agent matters, equity plan administration and related policies and procedures.
  • Monitor and advise on securities law, corporate governance developments, market trends and best practices in the markets in which the company operates, including proxy advisory services.
  • Support the corporate secretarial function, including board and committee notices, agendas, materials, minutes, resolutions, calendars, meeting cadence and annual shareholder meeting preparation.
  • Advise on investor relations matters, including earnings announcements, scripts, press releases, investor presentations, communications and related securities disclosures.
  • Lead Legal Department activities and manage outside counsel for strategic transactions, including M&A, corporate financing transactions and related workstreams.
  • Develop and deliver employee training on securities law, insider trading, Regulation FD, M&A and strategic transaction best practices.
  • Serve as the primary Legal Department contact for Corporate Development business needs, including drafting and negotiating complex commercial agreements as needed, and supporting Business Development activities.
  • Build strong relationships with supported business teams and maintain deep knowledge of company products, operations and objectives.
  • Review legal aspects of acquisition prospects and financing projects, including diligence and preparation of purchase and funding documents.
What You’ll Bring
  • Juris Doctor, licensed in Massachusetts
  • Minimum of five to seven years of private firm and/or in-house legal experience.
  • Broad experience with corporate, securities, M&A and other transactional matters.
  • Experience supporting corporate governance for public companies.
  • Excellent writing, analytical and judgment skills.

This position has a starting base salary range $209,000 to $263,600 per year. Actual starting pay is determined by a number of factors, including relevant skills, qualifications, and experience. This position is also eligible for bonus.
