Job summary

Nscale is seeking a Director, Securities Counsel in the United States to own the company’s securities law compliance and public reporting obligations. This full-time role collaborates with Finance, IR, Communications, and Rewards & Benefits to ensure accurate SEC filings and robust disclosures.

The candidate will advise on securities law developments, manage SOX processes, and help navigate capital markets transactions.

Qualifications

• Qualified attorney with JD or equivalent and US license, preferably NY bar.
• Minimum 5 years experience as a US securities lawyer, in-house or with a law firm advising public companies.
• Strong knowledge of SEC reporting requirements including 10-K/10-Q/8-K, proxy statements, and disclosures.
• Experience with Securities Act/Exchange Act matters and SOX compliance framework.
• Excellent interpersonal skills and ability to work with senior stakeholders across functions.

Responsibilities

• Own the accuracy and quality of SEC filings and related disclosures.
• Draft and review risk factor disclosures and financial statement disclosures.
• Provide legal review and sign-off on filings coordinated by Finance.
• Coordinate cross-functionally with Finance, IR, Communications, Rewards & Benefits.
• Monitor regulatory calendar and changes to keep filings compliant.
• Advise the business on securities law requirements and best practices.
• Support equity and debt capital markets transactions, including offerings and private placements.
