LHH is seeking a Corporate Paralegal in Houston to join a lean, fast-paced legal team. You will own corporate governance, equity administration, and support ongoing M&A activity alongside senior leadership.

The role offers high visibility, cross-functional collaboration, and the opportunity to help build scalable legal infrastructure for a growth-stage company. You will manage filings, capitalization tables, and equity platform administration while driving reporting and process improvements.

Qualifications

• Strong entity management background.
• Equity administration experience.
• Experience with Carta or similar equity platforms.
• Corporate governance support.
• Ability to work independently in a fast-paced environment.

Responsibilities

• Maintain corporate records and organizational structures.
• Manage annual filings, foreign qualifications, and subsidiary compliance.
• Support governance documentation and board-related matters.
• Assist with domestic and international entity management.
• Administer employee equity programs.
• Maintain capitalization tables and equity records.
• Manage equity grants and transaction documentation.
• Serve as primary administrator for equity management platforms.
• Improve processes, systems, and workflows.
• Manage contract repositories and legal intake processes.
• Create reporting and dashboard solutions.
• Partner with stakeholders across multiple business units.
• Assist with acquisition integrations and divestitures.
• Participate in strategic corporate initiatives.
