Job summary

GHX is seeking a corporate paralegal to support governance and transactional matters in a fast-paced environment. You will prepare materials for Board meetings, manage corporate documents and entity administration, and coordinate with counsel across teams to streamline processes.

Qualifications

• Minimum 5 years as a corporate paralegal with at least 3 years in-house.
• Experience preparing and maintaining corporate documents in-house.
• Familiarity with mergers & acquisitions and strategic transactions, including due diligence.

Responsibilities

• Support corporate legal matters reporting to VP & Deputy General Counsel.
• Assist Board and Committee materials preparation and organization.
• Maintain corporate documents and entity management for affiliates.
• Manage legal file documentation and organization.
• Monitor outside counsel billing and spend.
• Assist with due diligence in transactions, and with NDAs, LOIs, and other agreements.
