Trans-System Inc, a leader in the trucking industry, seeks an experienced Corporate Counsel to serve as a trusted legal advisor to executive leadership. The attorney will handle commercial contracts, corporate governance, regulatory compliance, litigation management, and real estate transactions, partnering with leaders across the organization.

The role requires a J.D., active WA/ID license, and at least 3 years of experience in corporate or firm settings.

Qualificações

• J.D. degree from an accredited law school.
• Active license to practice law in Washington or Idaho.
• Minimum of 3 years of legal experience in a law firm or corporate setting.
• Experience drafting, reviewing, and negotiating commercial contracts.

Responsabilidades

• Provide legal counsel to executive leadership on business operations and risk.
• Develop and implement corporate policies and compliance programs.
• Review, draft, negotiate, and advise on customer, vendor, and service contracts.
• Advise on corporate governance and maintain legal records for entities.
• Coordinate outside counsel for litigation, regulatory issues, and complex matters.
• Support real estate transactions, including leases and related contracts.
• Partner with HR on employment matters and regulatory compliance.
• Monitor regulatory developments and advise on appropriate actions.
• Identify strategies to minimize legal exposure and protect company interests.
