Job summary

Ruan Transportation Management Systems seeks a Deputy General Counsel to provide strategic legal guidance on corporate governance, regulatory compliance, and high-stakes transactions. You will oversee litigation with outside counsel, manage budgets, and partner with senior leaders to define settlement strategies when needed.

The role requires a Juris Doctorate with Iowa bar admission and 10+ years of experience in complex legal activities including contracts, litigation, and general corporate

Qualifications

• JD from an accredited law school and Iowa admission to practice.
• Minimum 10+ years of experience handling complex legal work including contracts and litigation.
• Experience advising executive leadership and governing bodies.

Responsibilities

• Provide strategic and tactical legal guidance to the VP & General Counsel and executives.
• Oversee litigation with outside counsel, manage spend, and evaluate exposures.
• Lead major business transactions and critical contract negotiations.
• Monitor regulatory developments and provide timely legal opinions to senior leaders.
• Advise on financing, risk management, and corporate governance initiatives.
• Supervise corporate counsel and ensure regulatory compliance across the company.
• Perform other duties and special projects as required.
