Qualifications

• 4+ years post-law school corporate or transactional experience.
• Independent negotiation of pre‑M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Experience with asset managers, investment banks, or financial services firms.

Responsibilities

• Negotiate high volumes of pre‑M&A contracts and liaise with counterparties.
• Serve as the primary day‑to‑day contact for sophisticated fund and asset manager clients.
• Maintain and update client playbooks to ensure consistency and quality in negotiations.
• Mentor junior lawyers and paralegals and contribute to a high‑performing team.
• Support the continuous improvement of Carta’s legal technology suite, including AI tools.
