Job summary

Red Cell Partners, LLC. is seeking a mission-driven Assistant General Counsel: Transactions to lead financing and M&A deals across a growing portfolio. You will run transactions end-to-end, from LOIs to closings, collaborating with founders, boards, bankers, and outside counsel.

Qualifications

• J.D. and licensed to practice in the U.S.
• 8+ years of legal experience with substantial M&A and venture financing
• Sell-side M&A experience from LOI to closing
• Venture financings across SAFEs, convertible notes, and preferred rounds
• Strong independent judgment under deal pressure
• Team-oriented, proactive, and high-energy

Responsibilities

• Lead day-to-day financing and M&A transactions across our portfolio
• Coordinate with outside counsel and deal teams during negotiations
• Brief leadership on risk posture and deal strategy
• Work with founders, boards, bankers, and acquirers through closing
• Assist with scope of P&A, SAFEs, and equity rounds as needed
