Job summary

ASUS is seeking an experienced Legal Counsel to join our US and Canada operations in Fremont, California. The role requires strong expertise in commercial transactions and contract law, with a focus on drafting, reviewing, and negotiating vendor and customer agreements across multiple business units.

You will collaborate with internal teams and external counsel to manage disputes, ensure compliance, and streamline processes.

Qualifications

• JD or foreign equivalent required.
• Admitted to a US state bar and authorized to practice law in California.
• 5+ years of relevant attorney experience.

Responsibilities

• Draft, review, and negotiate a variety of contracts with vendors and customers including non-disclosure, distribution, sales, logistics, marketing, after-sales service, SaaS and purchaseagreements.
• Proactively identify and address potential legal risks in contracts, providing clear and actionable recommendations to stakeholders to support business objectives.
• Collaborate closely with external counsel and internal teams to ensure timely and effective resolution of legal disputes.
• Provide insightful advice and guidance on internal practices to promote and ensure compliance across the organization.
• Create comprehensive training materials and resources to foster a culture of compliance and awareness within the organization.
