Senior Corporate Counsel in the Boston area will join a global life sciences manufacturing company's Legal team to focus on SEC reporting, governance, and disclosure matters supporting U.S. public-company requirements.

The role reports to the General Counsel and collaborates with Finance, Investor Relations, and Internal Audit, taking ownership of critical public-company matters and contributing to the organization's growth in the U.S. market.

Qualifications

• 5-7 years of corporate and securities law experience.
• Juris Doctor degree and active U.S. state bar membership.
• Strong hands-on SEC reporting and disclosure experience.
• Familiarity with Forms 20-F, 6-K, 10-K, 10-Q, and 8-K preferred.
• Experience with disclosure controls and SOX matters.

Responsabilités

• SEC reporting and disclosure: Support the preparation and legal review of SEC filings, including Forms 20-F, 6-K, and other public-company disclosures.
• Earnings and investor communications: Review earnings releases, investor presentations, financial disclosures, and other external communications for consistency with the company’s SEC filings and disclosure obligations.
• Corporate governance: Support board and committee matters, governance documentation, and other responsibilities related to operating as a publicly traded company.
• Disclosure controls and compliance: Partner with Finance, Investor Relations, Internal Audit, and other stakeholders on disclosure controls, reporting processes, certifications, and public-company compliance.
• Insider reporting and trading compliance: Assist with Forms 3, 4, and 5, insider-trading policies, transaction preclearance, equity-related reporting, and other director and officer compliance matters.
• Legal research and advisory support: Monitor developments in SEC rules, NYSE requirements, securities laws, and corporate governance practices, and advise internal stakeholders on their impact.
• Process improvement: Help strengthen legal and disclosure processes, documentation, calendars, and internal coordination as the company continues to expand its U.S. public-company infrastructure.
