Our client, a global manufacturer is seeking a highly skilled and business-oriented Corporate Counsel with expertise in Securities Law to join their dynamic legal team. This role will focus on supporting the company's public company reporting initiatives, including ensuring compliance with U.S. securities laws and SEC reporting obligations.

Key Responsibilities:

• Manage and ensure compliance with SEC regulations, including preparation and review of periodic filings (10-K, 10-Q, 8- K, proxy statements, etc.).
• Provide legal guidance on corporate governance matters and support Board and committee activities.
• Collaborate with cross-functional teams including Finance, Corporate Development, and Investor Relations.

Qualifications:

• J.D. from an accredited law school and admission to at least one U.S. state bar.
• 2+ years of relevant experience in a top-tier law firm and/or in-house legal department.
• Deep knowledge of U.S. securities laws, SEC reporting, and corporate governance.
• Strong business acumen and ability to work effectively in a fast-paced, collaborative environment.
• Excellent communication, negotiation, and project management skills.
