Job description

We’re partnering with a global, publicly traded life sciences manufacturing company on a Senior Corporate Counsel opportunity in the Boston area. The position is being added as the company continues to grow, expand its presence in the U.S. market, and navigate the increasing complexity that comes with operating as a global public company. The company is targeting a March 2027 start date.

Reporting directly to the General Counsel, this attorney will join a broader Legal team with professionals across the United States and Italy. The role is expected to focus primarily on SEC reporting, public-company governance, disclosure matters, and related corporate legal responsibilities.

The attorney will work closely with senior leaders across Legal, Finance, Investor Relations, Internal Audit, and other functions as the company continues to strengthen and expand its U.S. public-company capabilities. This is a strong opportunity for a corporate and securities attorney who enjoys working across functions, taking ownership of important public-company matters, and helping support the continued growth of an international organization.

Key Responsibilities
  • SEC reporting and disclosure: Support the preparation and legal review of SEC filings, including Forms 20-F, 6-K, and other public-company disclosures.
  • Earnings and investor communications: Review earnings releases, investor presentations, financial disclosures, and other external communications for consistency with the company’s SEC filings and disclosure obligations.
  • Corporate governance: Support board and committee matters, corporate policies, governance documentation, and other responsibilities related to operating as a publicly traded company.
  • Disclosure controls and compliance: Partner with Finance, Investor Relations, Internal Audit, and other stakeholders on disclosure controls, reporting processes, certifications, and public-company compliance.
  • Insider reporting and trading compliance: Assist with Forms 3, 4, and 5, insider-trading policies, transaction preclearance, equity-related reporting, and other director and officer compliance matters.
  • Legal research and advisory support: Monitor developments in SEC rules, NYSE requirements, securities laws, and corporate governance practices, and advise internal stakeholders on their impact.
  • Process improvement: Help strengthen legal and disclosure processes, documentation, calendars, and internal coordination as the company continues to expand its U.S. public-company infrastructure.
Qualifications
  • 5-7 years of relevant corporate and securities law experience with a law firm, publicly traded company, or a combination of both
  • Juris Doctor degree and active membership in at least one U.S. state bar
  • Strong hands-on experience with SEC reporting, public-company disclosures, securities laws, and corporate governance
  • Experience preparing or reviewing periodic filings, earnings materials, investor communications, and related disclosure documents
  • Familiarity with Forms 20-F and 6-K is preferred; strong experience with Forms 10-K, 10-Q, and 8-K may also be relevant
  • Experience with disclosure controls, SOX-related matters, board or committee support, insider reporting, or equity compensation is a plus
  • Comfortable working across international teams and managing multiple priorities in a fast-moving public-company environment
  • Experience within life sciences, pharmaceuticals, medical devices, manufacturing, or another highly regulated industry is preferred but not required
