Job summary

Cooley LLP's Compensation and Benefits practice seeks an Associate with 5+ years of experience advising on executive compensation and employee benefits, with a focus on representing private equity sponsors in acquisitions and divestitures and managing day-to-day portfolio company matters.

The role includes handling grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements, along with related IRC 280G and

Qualifications

• 5+ years of experience advising on executive compensation and employee benefits.
• Experience representing private equity sponsors in acquisitions and divestitures.
• Experience handling day-to-day portfolio company matters, including LLC incentives, holdco structures, rollover equity, and employment/severance arrangements.
• Familiarity with IRC Sections 280G and 409A.

Responsibilities

• Advise on executive compensation and employee benefits for private equity portfolios.
• Represent private equity sponsors in acquisitions and divestitures.
• Handle day-to-day portfolio company matters, including incentive awards and holdco structures.
