The role covers day-to-day portfolio company matters, including grants of profits interests, LLC incentive awards, rollover equity, and employment and severance arrangements; knowledge of IRC Sections 280G and 409A is required.

Qualifications

• 5+ years of experience advising on executive compensation and employee benefits.
• Experience representing private equity sponsors in acquisitions and divestitures.
• Strong handling of portfolio company matters and LLC incentives.
• Familiarity with IRC Sections 280G and 409A required.
• Excellent academic credentials and superior writing and communication skills.

Responsibilities

• Advise on executive compensation and employee benefits matters for portfolio companies.
• Handle profits interests, LLC incentive awards, and rollover equity.
• Manage day-to-day portfolio company matters including employment and severance arrangements.
• Support mergers and acquisitions involving privately held companies with tax considerations under 280G and 409A.
