Job summary

Cooley LLP’s Compensation and Benefits practice seeks an Associate with 5+ years advising on executive compensation and employee benefits, especially for private equity-sponsored acquisitions and divestitures. The role covers day-to-day portfolio company matters, including profits interests and LLC incentive awards, holdco vehicles, rollover equity, and employment/severance arrangements.

Experience with M&A involving privately held firms and IRC 280G/409A is required.

Qualifications

• 5+ years advising on executive compensation and employee benefits matters.
• Experience representing private equity sponsors in acquisitions and divestitures.
• Handling day-to-day portfolio company matters including profits interests and LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements.

Responsibilities

• Counsel on mergers and acquisitions involving privately held companies.
• Draft and negotiate compensation and benefits arrangements.
• Advise on IRC 280G and 409A compliance.
• Provide clear written and oral communication to clients.
