The role emphasizes representing private equity sponsors in acquisitions and handling portfolio company matters, including equity awards and LLC incentive structures.

Candidates should have strong academic credentials and excellent writing, oral communication, and analytical skills, with exposure to 280G and 409A rules. EOE.

Qualifications

• 5+ years advising on executive compensation and employee benefits, with PE sponsor focus.
• Experience handling day-to-day portfolio company matters including equity awards.
• M&A experience with privately held companies and 280G/409A knowledge.
• Excellent academic credentials and superior writing and analytical skills.

Responsibilities

• Advise on executive compensation and employee benefits for portfolio companies.
• Handle grants of profits interests and LLC incentive awards, holdco structures, and rollover equity.
• Manage employment and severance arrangements and related governance issues.
• Assist in M&A matters involving private companies with focus on compensation implications.
