Job summary

Cooley LLP is seeking an Associate for the Compensation and Benefits practice with 5+ years of experience in executive compensation and employee benefits, especially for private equity-sponsored transactions. The role covers day-to-day portfolio matters, profits interests, LLC incentives, holdco structures, rollover equity, and related employment arrangements.

The candidate should have strong academic credentials and superior writing, oral communication, and analytical skills. EOE.

Qualifications

• 5+ years of experience advising on executive compensation and employee benefits.
• Experience representing private equity sponsors in acquisitions and divestitures.
• Handling day-to-day portfolio company matters, including profits interests and LLC incentives.
• Experience with management holdco structures, rollover equity, and employment and severance arrangements.
• Experience with mergers and acquisitions involving privately held companies and IRC sections 280G/409A.

Responsibilities

• Advise on executive compensation and employee benefits strategy and implementation.
• Represent private equity sponsors in acquisitions and divestitures.
