Qualifications

• 8+ years of functional paralegal experience with 5+ years in securities/corporate governance.
• Experience drafting and coordinating SEC filings (10-K/10-Q/8-K/DEF 14A).
• Strong US entity management experience; international entity experience preferred.
• Proficient with EDGAR Next, Computershare, Workiva.
• Able to work independently with high confidentiality and sound judgment.

Responsibilities

• Maintain governance policies, committee charters, and corporate records.
• Prepare Board/Committee materials and templates; support distribution.
• Maintain calendars and databases for Board materials and actions.
• Facilitate onboarding for directors/officers; prepare related materials.
• Support annual Board/Committee self-evaluation process.
• Respond to internal/external audit requests with documentation.
