Job summary

The Kraft Heinz Company in Chicago seeks an Associate General Counsel, M&A to lead the legal strategy, structuring, negotiation, execution, and integration of complex domestic and cross-border transactions, with emphasis on U.S. business.

This senior role requires exceptional transactional expertise, commercial judgment, and the ability to balance legal risk with business objectives in a fast-paced global consumer packaged goods environment.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 15+ years of significant M&A experience, including leading complex domestic and cross-border transactions.
• Combination of major law firm and in-house corporate legal experience is strongly preferred.
• Demonstrated ability to influence senior stakeholders and deliver practical, risk-adjusted advice.

Responsibilities

• Lead all legal aspects of complex domestic and international mergers, acquisitions, divestitures, joint ventures, minority equity investments, restructurings, and other strategic transactions.
• Provide commercially focused legal advice throughout all phases—from target evaluation and diligence through signing, closing, and post-close integration.
• Serve as lead legal advisor and principal negotiator on purchase agreements, merger agreements, joint venture agreements, and related documentation.
• Counsel stakeholders on transaction structures, governance, risk allocation, antitrust and employment risks, and regulatory requirements.
• Lead and coordinate multidisciplinary deal teams and establish best-in-class M&A processes, templates, and governance frameworks.
