Job summary

Eaton’s legal organization seeks a dynamic Counsel for Mergers & Acquisitions to advise on all acquisitions, divestitures, joint ventures, and related transactions. Reporting to the VP & Chief Counsel, Mergers & Acquisitions, the role spans drafting, due diligence, and negotiations with internal teams and external counsel.

Based at Eaton's Beachwood, Ohio HQ, this position may involve travel and occasional remote work. A JD, active US license, and leadership experience in M&A are required.

Qualifications

• JD from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Minimum of 7 years of progressive post-law degree experience in mergers & acquisitions or related areas.
• Willingness to travel up to 10%, some globally.

Responsibilities

• Collaborate with internal and external stakeholders to ensure compliance with legal requirements.
• Draft, review, and negotiate complex transaction agreements (purchase, merger, shareholder, JV, etc.).
• Conduct thorough due diligence to identify and mitigate risks.
• Provide strategic legal advice to Strategy and Corporate Development and cross-functional teams.
• Oversee integration of acquired businesses and joint ventures from a legal perspective.
