Job summary

Eaton’s legal organization seeks a Counsel - Mergers & Acquisitions in Beachwood, Ohio to lead all merger and acquisition activities and provide strategic counsel on acquisitions, divestitures, joint ventures, and related transactions.

You will collaborate with deal teams, outside counsel, regulatory authorities, and financial advisors to manage due diligence, drafting, negotiations, and closings, while guiding post-transaction integration and governance.

Qualifications

• JD from an accredited law school and active license to practice in at least one US jurisdiction.
• Minimum of 7 years of progressive post-law degree experience in mergers & acquisitions or related areas.
• Proven track record of leading and closing complex M&A transactions.

Responsibilities

• Collaborate with deal teams, legal, financial advisors, investment bankers, and regulators to ensure compliance with all legal requirements.
• Draft, review, and negotiate complex transaction agreements including purchase and merger agreements.
• Conduct thorough due diligence to identify and mitigate risks.
• Provide legal advice to Strategy and Corporate Development and business teams on M&A matters.
• Oversee integration of acquired businesses from a legal perspective and ensure regulatory compliance.
• Manage outside counsel and monitor external spend on transactions.
