Zaddy Solutions is seeking a senior Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices, including NJ/Hackensack. The role focuses on complex fund formation, structuring, and regulatory compliance for private equity, hedge funds, credit funds, and other vehicles.

The candidate will handle governance, disclosures, and regulatory matters while collaborating with tax, regulatory, and transactional teams in a hybrid work environment.

Qualifications

• JD from ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of investment fund formation, structuring and ongoing regulatory compliance experience.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations, including the Advisers Act of 1940 and related SEC requirements.
• Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients.
• Excellent oral and written communication skills; client-focused approach.

Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
