A national AmLaw 200 firm is seeking a seasoned Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices.

This is an exceptional opportunity for a senior-level attorney to work on complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles.

Qualifications

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership and operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
