Job summary

The Unknown Firm is seeking a seasoned Investment Funds Attorney to join its sophisticated Investment Management & Funds practice across multiple U.S. offices. This is a senior role focusing on fund formation, structuring, and regulatory matters for a diverse client base including private equity sponsors and hedge funds.

Hybrid schedule available. Ideal candidates hold a JD from an ABA-accredited school with an excellent record and an active bar admission in the relevant jurisdiction, with 10+

Qualifications

• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity, hedge funds, credit funds and other alternative vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations, including the Advisers Act and SEC rules.
• Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients.
• Excellent oral and written communication, sound judgment, client-focused approach.

Responsibilities

• Advise fund sponsors and managers on formation, structuring, and launch of funds across asset classes.
• Draft and negotiate fund documentation: PPMs, LPAs, operating agreements, subscriptions.
• Counsel clients on regulatory compliance under federal and state securities laws.
• Provide ongoing advice on fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive solutions.
• Stay current on regulatory developments impacting the investment management industry.
