Job summary

The Recruiting Hive is seeking a seasoned Investment Funds Associate Attorney for its client, a national AmLaw 200 firm, to join its Investment Management & Funds practice across multiple U.S. offices. The role is hybrid with locations including NJ (Hackensack).

You will handle complex fund formation, governance, and regulatory matters for private equity, hedge funds, and other investment vehicles. The ideal candidate has 10+ years of experience, a JD from an ABA-accredited law school, and

Qualifications

• JD from ABA-accredited law school with an excellent academic record.
• Active bar admission in the relevant jurisdiction, in good standing.
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.

Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
