Job summary

CareerNerds is seeking a seasoned Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices in a hybrid role. You will handle high‑value fund formation, structuring, and ongoing regulatory matters for private equity sponsors, hedge funds, and other alternative vehicles.

Ideal candidates have 10+ years of experience, J.D. from an ABA‑accredited school, and strong regulatory knowledge, with large law firm experience preferred.

Qualifications

• JD from ABA-accredited law school with excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation including PPMs, LPAs, operating agreements, and subscription materials.
• Counsel on regulatory compliance under federal and state securities laws.
• Provide ongoing advice on fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
