Qualifications

• Typically 7+ years of relevant experience in finance, risk management, legal or compliance.
• Proficient knowledge of the business and regulatory environment.
• Law degree preferred with focus on corporate, securities or tax law.
• Seasoned professional with a combination of education, experience and industry knowledge.

Responsibilities

• Acts as a trusted advisor to senior leaders for making business decisions and implementing strategic initiatives.
• Participates the development and distribution of tailored messaging.
• Reviews technical procedures for key processes involving the Board of Directors, Committees and Shareholder Services, and implements process improvements as required.
• Leads the execution of operational programs; assesses and adapts to ensure quality of execution.
• Maintains corporate records and registrations.
• Plans, attends and executes allocated Board and Board Committee meetings, including coordination of agendas and meeting material mailing, minutes and follow-up tracking.
• Prepares correspondence, reports and other documents.
• Develops and maintains filing systems; ensures reports and forms are readily available.
• Coordinates internal funding transactions.
• Provides insider reporting information and monitors stock option exercises.
• Supports project and transactions management by tracking milestones and budgets.
• Handles sensitive/confidential Bank information and operates under high-stress conditions.
• Builds relationships with internal/external stakeholders.
