Job summary

Jobgether seeks a Senior Corporate Counsel in the United States to shape corporate strategy for a globally distributed technology business. You will lead complex corporate, securities, M&A, and governance matters while advising stakeholders on critical business decisions across jurisdictions.

Qualifications

• JD from a US-accredited law school with admission to practice in a US state and at least five years of legal practice.
• Strong expertise in securities law, corporate governance and private/late-stage company matters.
• Experience managing international subsidiaries and complex corporate transactions (financing rounds, M&A, equity transactions).
• Experience overseeing employee equity programs and stock plans; familiarity with tender offers or public offerings is a plus.
• Knowledge of IP, software licensing, open-source licensing, and cross-border regulatory considerations.

Responsibilities

• Lead global securities law compliance and corporate governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, corporate records, and intercompany agreements.
• Support board governance with agendas, materials, and meeting records.
• Oversee employee equity programs and stock sale transactions.
• Lead legal execution of fundraising, M&A, financing and other strategic transactions.
• Manage venture investments and related activities.
• Develop scalable legal and business processes for international operations.
• Advise on IP, licensing and open-source licensing with cross-functional teams.
• Translate complex legal matters into practical recommendations for business decisions.
