Job summary

United States Digital Space LLC seeks a Senior Director, Corporate Counsel to oversee the Corporate Legal function, guiding growth, M&A activity, international expansion, and governance. Reporting to the VP, Legal & General Counsel, the role handles compliance, equity, litigation, IP, and marketing matters while partnering with Finance, Marketing, People, and Corporate Development.

Qualifications

• Juris Doctor with active bar membership in Canada or the United States and at least 10 years of relevant experience.
• Experience leading or supporting mergers and acquisitions, including due diligence and post-closing integration.
• Strong knowledge of corporate governance and securities laws.
• Experience advising on international expansion and regulatory requirements.
• Experience supporting financing transactions and related securities law compliance.

Responsibilities

• Lead the legal workstreams for mergers and acquisitions, including due diligence and negotiations.
• Advise on regulatory requirements related to international operations and expansion.
• Oversee corporate entities, records, governance processes, and subsidiary management.
• Provide guidance on corporate policies and procedures.
• Support Finance on insurance, taxes, equity plans, and strategic projects.
• Review marketing materials for compliance and deliver training on regulatory topics.
• Identify risks and develop mitigation strategies; manage external counsel and cross-functional teams.
• Manage the company’s intellectual property portfolio and support strategic negotiations.
