Job summary

ABA Search, Inc. is seeking a Senior Fund Formation Paralegal for a hybrid role in New York or Boston. The position offers a $130,000–$170,000 salary range with overtime eligibility and a comprehensive benefits package.

You will support fund formation work from formation through ongoing compliance, engaging with attorneys and senior paralegals in a fast-paced environment. Strong drafting, research, and organizational skills are essential.

Qualifications

• Bachelor's degree required; paralegal certification preferred.
• Minimum 5 years of paralegal experience, preferably in fund formation.
• Ability to bill a minimum of 1,600 hours annually; overtime may be required.

Responsibilities

• Prepare and maintain organizational documents for venture funds and emerging companies.
• Draft partnership and LLC agreements.
• Prepare side letters, transfer and admission agreements, and amendments.
