Job summary

ABA Search, Inc. is seeking a Senior Fund Formation Paralegal for a hybrid role in New York or Boston. The position offers a $130,000–$170,000 salary range with overtime eligibility and a comprehensive benefits package.

You will support fund formation work from formation through ongoing compliance, engaging with attorneys and senior paralegals in a fast-paced environment. Strong drafting, research, and organizational skills are essential.

Qualifications

Senior Fund Formation Paralegal - Hybrid New York or Boston | $130,000–$170,000 + Overtime

Bring your fund formation experience to an Am Law 100 firm where your work will have a direct impact on how venture funds are launched, structured and kept in compliance. This is an opportunity to take on substantive fund formation work, from partnership agreements and side letters to investor diligence and regulatory filings, for a sophisticated venture fund client base. You’ll work closely with attorneys and senior paralegals in a fast-paced, team-oriented environment where initiative and attention to detail are valued.

What You’ll Do

As part of the fund formation group, you’ll support attorneys and senior paralegals on venture fund and emerging company matters, from formation through ongoing compliance. You will:

• Prepare and maintain organizational documents for venture funds and emerging companies
• Draft partnership and limited liability company agreements
• Prepare side letters, transfer agreements, admission agreements, and other amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations in connection with fund formations
• Prepare and file required notices
• Conduct due diligence review of documents and assist with legal opinions and supporting backup
• Handle SEC compliance reporting for venture fund clients related to their public company stock portfolios
• Track time and complete administrative responsibilities promptly

What You’ll Bring

Required:

• Bachelor's degree
• Minimum of 5 years of paralegal experience, preferably in fund formation
• Ability to bill a minimum of 1,600 hours annually
• Availability to work overtime as required
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm applications
• Ability to work independently and as part of a team for multiple supervisors, meet deadlines, and stay flexible as assignments and schedules shift
• Excellent written communication, proofreading, and organizational skills, with the initiative, diplomacy, and tact to work well with colleagues and clients under pressure

Especially Helpful:

• A paralegal certificate is preferred, and prior experience focused specifically on fund formation is highly valued.
