Job summary

ABA Search, Inc. is seeking a Fund Formation Paralegal for a hybrid schedule with options in Chicago, Denver, Los Angeles or San Francisco. The role carries a salary of $80,000–$110,000 plus overtime, with strong benefits and PTA schedules.

You’ll support venture fund formations, investor onboarding, and SEC reporting in a fast-paced law firm environment. You will draft and maintain fund documents, conduct due diligence, file notices, and collaborate with attorneys and senior paralegals to

Qualifications

• 1–3 years of fund formation experience.
• Excellent written communication and proofreading skills.
• Ability to bill a minimum of 1,600 hours annually.
• Experience with fund documents, diligence, and SEC reporting is a plus.

Responsibilities

• Prepare and maintain organizational documents, including partnership and LLC agreements.
• Draft side letters, transfer and admission agreements, and amendments.
• Conduct investor due diligence and file required notices.
• Handle SEC compliance reporting for venture fund clients.
