ABA Search, Inc. is seeking a Senior Fund Formation Paralegal to join a leading international law firm in a hybrid Chicago or San Francisco role. The position focuses on launch, structure, and ongoing securities compliance for venture funds and emerging companies.

You will collaborate with attorneys, senior paralegals, and fund clients to manage sophisticated fund formation matters. The role offers a competitive salary range of $110,000 to $170,000 plus overtime, with a hybrid work setup and

Qualifications

• Bachelor's degree.
• Minimum of 5 years of paralegal experience, preferably in fund formation.
• Ability to bill a minimum of 1,600 hours annually.
• Availability to work overtime as required.
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm technology.
• Excellent writing, proofreading, and communication skills with strong attention to detail.

Responsibilities

• Prepare and maintain organizational documents for venture funds and emerging companies.
• Prepare partnership and LLC agreements, side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor suitability due diligence.
• Research federal and state securities regulations related to fund formations, and prepare and file required notices.
• Conduct due diligence document reviews and assist with opinions and supporting backup.
• Handle SEC compliance reporting for venture fund clients' public company stock portfolios.
• Manage timekeeping and administrative responsibilities promptly and accurately.
