Job summary

SpaceXAI in the United States is seeking a Corporate Counsel to support and lead mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions. You’ll handle governance and subsidiary management and advise internal clients on complex legal matters.

This full-time, on-site role is based in Palo Alto, Washington DC, Austin, or New York, requiring bar admission and the ability to work extended hours.

Qualifications

• J.D. from an accredited law school is required.
• 6+ years in Corporate or M&A at a top firm or in-house.
• Experience with complex corporate structures, diligence and negotiation.

Responsibilities

• Lead and support mergers, acquisitions, joint ventures, investments, and partnerships end-to-end.
• Partner with corporate development, finance and operations to execute deal processes.
• Drive post-closing integration.
• Develop processes, templates and playbooks for M&A and strategic transactions.
• Advise on corporate governance, including subsidiary boards and consents.
• Oversee subsidiary maintenance, including formations, dissolutions, and cross-border compliance.
• Provide counsel on general corporate matters.
• Willingness to roll up sleeves and maintain a can-do attitude.
