Job summary

DigitalOcean is seeking a Senior Corporate Counsel, Datacenters and Infrastructure, to tackle high-value transactions involving datacenter leasing, capacity, and hardware procurement.

You will partner with procurement, engineering, finance and compliance, drafting and negotiating LOIs, MSAs, and related agreements while building scalable legal tools and supporting international expansion.

Qualifications

• JD from an accredited law school and active bar membership in at least one U.S. state.
• 8+ years of legal experience with 3+ years in-house supporting datacenter or large-scale infrastructure projects.
• Experience with datacenter contracts from developer/provider or tenant perspectives, including various lease structures.
• Experience with facilities agreements and operations-and-maintenance contracts.
• Familiarity with datacenter operational requirements, tax incentives, and financing structures.
• Ability to manage multiple projects with minimal oversight to meet tight timelines.
• Strong business judgment and ability to translate legal advice for business stakeholders.
• Excellent communication and collaboration with cross-functional partners and senior leadership.

Responsibilities

• Serve as primary legal contact to drive datacenter agreements to signature (LOIs, MSAs, order forms, and ancillary agreements).
• Draft, review, and negotiate datacenter capacity leasing, colocation, and design/build agreements; and related infrastructure contracts.
• Collaborate with procurement, engineering/operations, finance, tax, and compliance on deal structuring.
• Provide business-focused risk counseling and supplier risk assessments.
• Support international expansion by coordinating with local counsel on jurisdictional requirements.
• Develop scalable legal tools, templates, and matrices to improve contracting speed and consistency.
• Assist with other high-priority vendor and operations agreements as needed.
