Job summary

DigitalOcean is seeking a Senior Corporate Counsel, Datacenters and Infrastructure, to guide high-value physical infrastructure transactions. You’ll draft and negotiate datacenter agreements, collaborate with cross-functional teams, and help shape scalable legal tools to accelerate contracting.

You should have a JD, US bar admission, and 8+ years of relevant legal experience, including in-house work on datacenter or large-scale infra projects. This is a remote role.

Qualifications

• Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. state.
• 8+ years of legal experience and 3+ years of in-house experience supporting datacenter or large-scale infrastructure projects.
• Experience with datacenter contracts from a developer/provider or tenant perspective, including modified gross, triple net or other lease structures.
• Experience with facilities agreements, and operations-and-maintenance contracts.
• Familiarity with datacenter operational requirements (SLA, maintenance windows, security, audit rights, change control, service credits), tax incentives, and financing structures.
• Experience managing multiple projects with minimal oversight to meet aggressive timelines.
• Low-ego, growth mindset with willingness to learn and take feedback.
• Strong business judgment to calibrate risk and translate legal advice for business stakeholders.
• Excellent communication and collaboration with cross-functional partners and senior leadership.

Responsibilities

• Serve as a trusted partner and primary legal contact to drive datacenter agreements to signature (LOIs, MSAs, order forms).
• Draft, review, and negotiate agreements supporting datacenter building, deployment, and operation (capacity leasing, colocation, design/build, facilities/maintenance, and procurement).
• Collaborate with cross-functional partners on deal structuring across procurement, engineering, operations, finance, tax, and compliance.
• Provide business-focused counseling on risk allocation, supplier risk, and remediation matters.
• Support international expansion by adapting requirements for new jurisdictions and coordinating with local counsel.
• Build scalable legal tools: templates, playbooks, fallback positions, and approval matrices.
• Tackle other high-priority legal work to support a lean Legal Department.
