Qualifications

• 7+ years of experience in private investment fund formation and investment management.
• Strong command of fund structures, market terms, and regulatory frameworks.
• Excellent drafting, negotiation, and leadership skills.
• Ability to independently manage sophisticated matters and client relationships.

Responsibilities

• Lead private investment fund formations, restructurings, and amendments.
• Serve as primary advisor to fund sponsors on fund terms, investor negotiations, and regulatory matters.
• Draft and negotiate placement memoranda, partnership or operating agreements, subscription agreements, and side letters.
• Advise on complex securities law and regulatory issues impacting private funds and investment advisers.
• Review and negotiate co-investment arrangements and institutional investor documentation.
• Supervise and mentor associates and staff.
• Contribute to business development and client relationship management.
